To file for incorporation in the state of Pennsylvania, the following information is required:

Entity type: When filing for incorporation, you must specify your planned incorporation structure. The majority of firms are stock corporations. Non-stock firms do not issue shares, and stockholders are referred to as members rather than shareholders. A PA corporation may also be a cooperative, management corporation, professional corporation, statutory close company, or insurance corporation.

Name of the corporation: Corporate company names must be unique. The word corporation or incorporated must appear in the company name. It cannot include terms that do not adequately represent the business’s purpose.

Registered office: You must also specify your registered office on the articles of incorporation in Pennsylvania. This is the place where you will be accepting papers throughout regular business hours. If you do not want your information to be made public, you may use another site.

Listed incorporators: At least one incorporator must be listed in the PA company. It is possible to have many incorporators. The members who are obligated to observe the requirements outlined in the articles of incorporation are known as incorporators. Any anyone above the age of 18 may become an incorporator.

Shares available: If the company will incorporate shares, the documentation must specify the number of shares available. You are not required to allocate these shares right away. Additional shares may also be added at a later time.

Listed shareholders: A shareholder is a member who holds equity in the company. In Pennsylvania, corporations must have at least one shareholder.

Officers: The officers are elected members who administer the corporation’s day-to-day operations. There must be a president and a secretary, although other positions may be elected.

Obtaining a Pennsylvania Incorporation

Filing for a Pennsylvania incorporation necessitates the submission of the necessary paperwork to the Pennsylvania Department of State. These articles provide the state with important information regarding the purpose and nature of the enterprise.

Documents proving government authorisation, if applicable. This form is only necessary if your company needs government permission.
