What Exactly Is a Limited Partnership?

Understand what a limited partnership is, if it’s good for your company, and how to set one up.

It might be difficult to tell the difference between a Limited Partnership and a Limited Liability Partnership. The primary contrast between the two is where responsibility lies. All partners in a Limited Liability Partnership have limited responsibility. A Limited Partnership requires at least one general partner, with all other partners having restricted responsibility.

Creditors and credit institutions prefer dealing with Limited Partnerships over Limited Liability Partnerships, partly because they can only obtain the firm assets in a Limited Liability Partnership. Creditors in a Limited Partnership may obtain all of the general partner’s personal assets if they take the required steps. The general partner in this relationship carries the majority of the risk, but also the majority of the authority. In most places, limited liability partners in such a partnership are not allowed to participate as actively. They cannot bind the general partner to an agreement and cannot make major commercial decisions. This kind of collaboration is known as a silent partnership in certain jurisdictions. Since limited partners do not face the same risks as general partners, the law imposes considerable restrictions on them. Moreover, it precludes limited partners from receiving all of the advantages.

An explicit Partnership Agreement is required to create the partnership. The agreement must not only comply with state legislation, but it must also precisely define the partners and their duties within the partnership. While the general partner must be specified, limited liability partners may be added at a later date in certain jurisdictions. Yet, the partnership is taxed like a General Partnership when it comes to submitting taxes. The only exemption is for limited liability partners, who are exempt from paying self-employment taxes since they are not considered engaged in the firm.
