In South Dakota, the cost of forming an LLC (limited liability corporation) online is $150. When the LLC’s Articles of Organization are filed, this fee is paid to the South Dakota Secretary of State.

How Much Does a South Dakota LLC Cost?

Fee for South Dakota LLC Online Filing: $150

The major expense of forming an LLC is the $150 charge for filing your Articles of Organization with the South Dakota Secretary of State online.

Fee for South Dakota Annual Report: $50

LLCs in South Dakota are required to submit an annual report with the Secretary of State.

This form may be submitted through the South Dakota Secretary of State’s website. The deadline is November 15. Failure to file on time in South Dakota carries a $50 penalty.

Fee for Registered Agent

You may be your own registered agent in South Dakota, but employing a registered agent service keeps your firm in compliance, informs you of critical filing dates, and helps you avoid late fines.

South Dakota Foreign LLC Formation Fee

If you currently have an LLC established in another state and want to expand into South Dakota, you must register your LLC as a foreign LLC in South Dakota.

A South Dakota foreign LLC registration costs $750 online or $765 by mail. A foreign LLC may be registered in South Dakota by submitting an Application for Certificate of Authority (online).

Permits and Licenses for Businesses

Depending on your industry and geographic location, your company may need federal, state, and municipal permits/licenses to operate lawfully in South Dakota. This is true regardless of whether you create an LLC or another sort of company structure.

Other Fees for Filing an LLC

There are several extra costs involved with forming an LLC:

LLC Name Reservation: File an Application for Reservation of Name and pay the $25 filing fee to reserve your name for up to 120 days prior to the establishment of your LLC.

If a foreign LLC’s name is not accessible in the state, it may register a new name by completing an Application for Registration of Name and paying the $25 filing fee.

“Doing Company As” (DBA) Name: To establish a name different than your official LLC business name, you may register a DBA online with the Secretary of State and pay the $10 filing fee.

Certified Document Copies: Order certified copies of your South Dakota business paperwork from the Secretary of State for $15 + $2 per page.

Certificate of Good Standing: A South Dakota certificate of good standing may be obtained by contacting the Secretary of State and paying the $20 cost. Banks and lending institutions often demand a certificate of good standing.
