In New York, the cost of forming an LLC (limited liability corporation) online is $200. When the LLC’s Articles of Organization are filed, this charge is paid to the New York Secretary of State.

How Much Does a New York LLC Cost?

Fee for New York LLC Online Filing: $200

The major expense of forming an LLC is the $200 filing fee with the New York Department of State for your LLC’s Articles of Organization.

New York Biennial Declaration Fee: $9

LLCs in New York must submit a biannual statement, also known as a biennial report, with the Department of State.

This form may be submitted through the New York Department of State’s website. It must be paid every two years by the end of the month in which the company was founded.

If you currently have an LLC established in another state and want to expand into New York, you must register your LLC as a foreign LLC in New York.

A foreign LLC in New York must be registered for $250. A foreign LLC may be registered in New York by submitting an Application for Authority (Form 1361-f-a).
Permits and Licenses for Businesses

Depending on your industry and geographic location, your company may need federal, state, and municipal permits/licenses to operate lawfully in New York. This is true regardless of whether you create an LLC or another sort of company structure.

Other Fees for Filing an LLC

There are several extra costs involved with forming an LLC:

LLC Name Reservation: File an Application for Reservation of Name (Form 1233-f) and pay the $20 filing fee to reserve your name for up to 60 days prior to LLC formation.

Doing Company As (DBA) Name: To establish a name different than your official LLC business name, file a Certificate of Assumed Name (Form 1338-f) and pay the $25 filing fee.

Certified Document Copies: Order certified copies of your New York business paperwork from the Department of State and pay the $10 filing fee.

Certificate of Status: This document, also known as a New York certificate of good standing, may be obtained by ordering from the Department of State and paying the $25 charge. Banks and lending institutions often demand a certificate of status.
