Non Disclosure Agreement (NDA) forms are also known as Confidentiality Agreement (CA) forms. When exchanging private information with another person, have them sign a Non Disclosure Agreement before they have access to the material. By signing an NDA, a person or corporation recognizes that sensitive information is being shared and undertakes not to reveal what is learnt to other parties.
Confidentiality Agreements must specify the extent of the agreement, including the type of the information to be released and the time period for which secrecy is needed. NDA forms must specifically declare that the person or firm signing the agreement agrees not to disclose the sensitive information to any other parties.
Non-Disclosure Agreements should further clarify why the information is being released and state that it may not be utilized for any purpose other than its intended one.
