Meetings of Corporations – Unanimous Consent

If certain directors are unable to attend a meeting, corporations should prepare and sign a unanimous consent document ahead of time.

Several states permit unofficial yearly reunions. Formal notice processes are not required for these gatherings. This is merely a different way of having meetings. The secretary will type the meeting minutes, and each member who is obligated to attend must sign them. Companies and businesses must save signed minutes with other company papers.

The meeting should be held by unanimous agreement, according to the phrase at the top of the meeting minutes. If not all of the directors are able to attend, this alternative to conducting meetings is a suitable choice. Prior to the meeting, companies should develop and sign the unanimous consent document. The issues planned for discussion at the meeting should be outlined in the Unanimous Consentdocument. The minutes may then be faxed or sent to absent members for signatures.
