Fill out a Statement of Appointment or Alter with the Maine Department of the Secretary of State to change your registered agent in Maine, also known as a clerk for domestic companies.
When transferring registered agent services, when an agent resigns or goes out of business, or if they choose to function as their own registered agent, a company owner may opt to change their registered agent.
File an Appointment or Change Statement
The easiest approach to alter your registered agent is to file a Statement of Appointment or Change with the Maine Department of the Secretary of State. There are many forms for various company structures, as well as various kinds of registered agents:
Commercial Clerk – Corporation
Noncommercial Clerk for Corporation
Commercial Registered Agent – Nonprofit
Registered Agent for a Nonprofit Organization
Commercial Registered Agent – Limited Partnership (LP)
Noncommercial Registered Agent (LP)
Commercial Registered Agent for a Limited Liability Company (LLC)
Noncommercial Registered Agent – LLC
Commercial Registered Agent – Limited Liability Partnership (LLP)
LLP – Limited Liability Partnership
This may be sent to the following address:
State Department
Corporations, UCC, and Commissions Division
Station 101, State House
04333-0101 Augusta, Maine
Fees are $15 for charities and $35 for all other organizations.
This charge may be paid by cheque or money order. Read the change form for complete instructions.
Please expedite your order.
You must mark the appropriate box on the cover letter attached to the Statement of Appointment or Change if you need the Maine Department of the Secretary of State to expedite your form.
The charge for 24-hour service is $50, while the fee for rapid assistance is $100.
Submit a Certificate of Amendment.
While it is not suggested, you have the option of changing your registered agent.
If your company is an LLC, you may alter your registered agent by completing a Maine Certificate of Amendment. However, filing this paperwork costs $50, making it the most costly choice. This is not an option for corporations.
If, in addition to replacing your registered agent, you need to make additional changes to your LLC’s registration, making all of those changes on the Certificate of Amendment may be a smart alternative. However, if you merely want to alter your registered agent, you should use one of the other procedures indicated above.
Why Should You Change Registered Agents?
A firm may choose to change its registered agent for a variety of reasons, including:
Changing from an Individual Agent to a Registered Agent Service: While people (even a company’s own executives or employees) may operate as registered agents, they will be publicly listed in the state’s database. Some individuals may see this as an invasion of their privacy. Registered agents must also be accessible in their office between the hours of 8 a.m. and 5 p.m. and 5 p.m. Monday to Friday, which might be inconvenient. These concerns are resolved by switching to a registered agent service.
Expanding Your Company Into New States: LLCs, corporations, and other formal business structures must have a registered agent in each state where they conduct business. Not all registered agents are authorized to act as a registered agent in every state. Some companies would rather have the same registered agent in each state than multiple separate ones.
Customer Satisfaction: Whether it’s about pricing, customer service, or job quality, some changes occur simply because a company is dissatisfied with its present registered agent.
